The Paralegal position is responsible for providing legal and administrative support to in-house counsel. Legal support includes, without limitation, those tasks and responsibilities generally performed by paralegals in law firms and corporate legal departments.
1. Management of Corporate Books and records
Individual, with support from external counsel where agreed, should support the following:
Subsidiary Management Matters
a. Prepare and file documents to establish new corporate and legal entities.
b. Prepare shareholder and directors minutes and resolutions, along with maintaining corporate record books.
c. Prepare necessary intercompany services and other agreements.
d. Prepare and file governmental annual report requirements.
e. Prepare and file dissolution, withdrawal and merger documents as required.
a. Monitor and review government rules and regulations.
b. Prepare and file documents necessary to comply with governmental regulators for the conduct of various business activities.
c. Prepare officers and directors certificates.
2. Support of Commercial Function
Under supervision of various lawyers, perform basic review of commercial documents and agreements. Prepare basic commercial agreements from templates, such as NDAs, supply agreements, distribution agreements. Complete sales support documentation such as customer certifications and “know your customer/supplier” forms, and similar documents. Assist with simple questions concerning public bid offerings and contracts.
3. Administrative Support
Administrative support may include, without limitation, the oversight and use of electronic matter management, docketing, billing and budgeting systems, the processing of new matters and the preparation of various reports and analyses. The position requires familiarity and expertise in the applicable areas of law practiced by the incumbent.
a. Required: GCSE and A Levels or equivalent, some legal studies
b. Preferred: Bachelor’s Degree or equivalent experience is strongly preferred
KNOWLEDGE & EXPERIENCE:
a. Required: Proven paralegal experience is required, including experience with corporate/company secretarial documents.
